Program Terms

The Mekanys Referral Program (the “Program”) rewards individuals (“Referrers”) for introducing Mekanys to businesses they personally know that could benefit from Mekanys services. Referred businesses receive a discount on Mekanys services; Referrers earn a commission on amounts the referred business pays Mekanys, as set out below. By creating a referrer account or submitting a referral, you agree to these terms.

To participate as a Referrer you must:

• be at least 18 years old;
• be a resident of the United States or Canada.

Eligible referrals are companies located in the United States or Canada that are not already in Mekanys's sales pipeline at the time of submission. Mekanys determines in good faith whether a company was already in its pipeline, and its determination is final.

Submission. Referrers submit referrals through the referral portal, identifying the company and a contact person the Referrer personally knows.

Warm confirmation required. Mekanys only pursues referrals the referred contact has confirmed. After you make your introduction, your contact receives a confirmation link; Mekanys will not initiate contact with the referred business until the contact confirms the introduction and agrees that Mekanys may contact them. Commission is earned only on referrals the contact confirmed.

Attribution. Attribution is first-to-submit by company: the first Referrer to submit a given company holds the referral. If a referral remains unconfirmed for 60 days, the attribution is released and the company becomes available for referral again.

Deal window. A confirmed referral entitles the Referrer to commission only if the referred business signs an engagement with Mekanys within 6 months of the contact's confirmation. After that window the referral expires and no commission attaches to any later engagement.

For a confirmed referral that becomes a Mekanys client, the Referrer earns a commission on amounts the client actually pays Mekanys:

• 10% of amounts invoiced to the client and received by Mekanys during the client's first 12 months as a client;
• 5% of amounts invoiced and received during the following 12 months;
• no commission thereafter.

Commissions accrue only on amounts both invoiced and actually received by Mekanys. Payouts run monthly, in the first week of each month, covering funds received in the prior month. Balances under USD 50 roll over to the next month until the minimum is reached. Commissions accrue in the invoice currency and are paid in USD (or CAD for Canadian residents) at the prevailing exchange rate on the payout date; Mekanys covers standard transfer fees on payouts at or above the minimum. Before any payout is made, the Referrer must provide payout details and the applicable tax documentation: a completed Form W-9 for US residents, or equivalent information for Canadian residents. Referrers are responsible for their own taxes on Program earnings.

A business that becomes a Mekanys client through the Program receives a 10% discount on Mekanys services for its first 12 months as a client. The discount applies to services invoiced within that period, cannot be combined with other promotional discounts, and has no cash value.

The following are prohibited and may result in forfeiture of commissions and account suspension:

• Self-referral: referring your own business, including through a proxy, family member, or affiliated person or entity. Referring a business in which you hold any ownership stake counts as self-referral. Employees without an ownership stake may refer their employer: the business gets the discount and the employee earns the commission;
• Fake or spam submissions: submitting companies or contacts you do not personally know, fabricated leads, or bulk submissions;
• Public advertising of the Program: the Program may not be promoted publicly in any form, including on social media, websites, paid ads, mass emails, or forums. The Program exists for referring businesses you personally know. If a Referrer ever mentions the Program publicly, they must clearly disclose that they earn a commission on referrals.

Mekanys may, at its discretion:

• decline any lead or referral for any reason;
• verify referrals, including contacting the Referrer or the referred contact;
• suspend or terminate accounts involved in fraud or violation of these terms;
• modify or end the Program with notice to Referrers.

Changes to the Program do not retroactively reduce commissions already earned on confirmed referrals under the terms in effect when they were earned.

The Program is provided “as is.” Mekanys makes no guarantee that any referral will be accepted, that any referred business will become a client, or that any particular commission amount will be earned. To the maximum extent permitted by law, Mekanys's total liability arising out of the Program is limited to the commissions properly earned and unpaid at the time a claim arises. Mekanys is not liable for indirect, incidental, or consequential damages. Nothing in these terms creates an employment, agency, or partnership relationship between Mekanys and any Referrer.
